Welcome to wearephera.com (the "Site"), operated by Dust N' Sweep L.L.C., d/b/a Phera ("Phera," "we," "us," or "our"), an Ohio limited liability company. These Terms & Conditions ("Terms") govern your access to and use of the Site, including any purchases you make. By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to make a purchase on the Site. By placing an order, you represent that you meet this requirement.
2. Products
We offer plant-based, refillable home cleaning products, including aluminum bottles, compostable powder concentrate refills, and related accessories. We reserve the right to modify, discontinue, or limit the availability of any product at any time without notice.
Product Descriptions
We aim to display product information, including colors and descriptions, as accurately as possible. We do not warrant that product descriptions or other content on the Site are error-free.
Pricing
All prices are listed in U.S. dollars and are subject to change without notice. We reserve the right to correct any pricing errors, even after an order has been placed.
3. Orders & Payment
By placing an order, you represent that the information you provide (billing/shipping address, payment details) is accurate and that you are authorized to use the payment method provided. Payments are processed securely through Shopify Payments; see our [Privacy Policy] for more detail.
We reserve the right to refuse or cancel any order for any reason, including suspected fraud, errors in pricing or product information, or issues with product availability.
4. Subscriptions
If you enroll in Phera's refill subscription program:

Your payment method will be charged automatically on a recurring basis according to the schedule you select at checkout.

You may cancel, pause, or modify your subscription at any time directly through your account on the Site, or by emailing us at Hello@Phera.earth.

Cancellations should be made at least 72 hours before your next scheduled shipment to avoid being charged for that cycle.

If a subscription has already been charged or entered fulfillment, cancellation may apply to the following billing cycle rather than the current order.

Any subscription pricing, discounts, frequency options, or other terms presented at checkout will apply to the subscription you select.
5. Shipping, Returns & Order Support
Shipping rates, delivery estimates, and Phera's return, exchange, damage, missing-item, wrong-item, cancellation, and subscription policies are detailed in our [Shipping & Returns Policy], which is incorporated into these Terms by reference.
Standard returns are accepted within 10 calendar days of delivery when products are unopened, unused, and in their original packaging. Product-specific restrictions may apply and will be stated on the applicable product page.
Damage, defect, missing-item, and wrong-item claims should be reported within 7 calendar days of delivery and may require an order number and photographs or other information reasonably necessary to evaluate the claim. Confirmed damage or defects may qualify for a replacement or exchange. Phera may deny claims caused by misuse, improper handling, accidental damage, normal wear and tear, or other circumstances not attributable to Phera or the shipping carrier.
If a package is marked delivered but has not been received, customers should wait 24 hours after the delivery scan and then contact Phera so we can investigate with the carrier.
Orders are processed quickly, so cancellation is not guaranteed once an order is placed. Customers should contact Phera immediately to request cancellation. Phera will do its best to cancel an order before it ships, but cancellation is not guaranteed. If an order has already shipped, it cannot be canceled.
For subscription orders, eligible refill subscriptions renew automatically every 90 days. Cancellations should be made at least 72 hours before the next scheduled shipment to avoid being charged for that cycle.
6. Intellectual Property
All content on the Site — including but not limited to the Phera name, logo, product designs, photography, graphics, and text — is the property of Dust N' Sweep L.L.C. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent.
7. User Conduct
When using the Site, you agree not to:

Attempt to interfere with the security or functionality of the Site

Use the Site for any fraudulent or unauthorized purpose

Scrape, copy, or misuse Site content without permission
We reserve the right to suspend or terminate access to the Site for anyone who violates these Terms.
8. Affiliate & Referral Program
If you participate in Phera's affiliate program, your participation is also governed by the separate terms provided at signup through our affiliate platform. Commission rates, payout terms, and eligibility requirements are set out there and may change from time to time.
9. Third-Party Links and Services
The Site may contain links to third-party websites or rely on third-party applications (see our Privacy Policy, Section 3, for a list) to operate certain features. We are not responsible for the content, accuracy, or practices of third-party sites or services.
10. Disclaimers
The Site is provided "as is" and "as available," to the fullest extent permitted by law. We do not guarantee that the Site will be uninterrupted, error-free, or secure.
Phera makes product descriptions and performance claims based on information and substantiation available to us. Product performance may vary depending on the surface, application, concentration, water conditions, and other circumstances. Customers are responsible for following the product label and use instructions.
Phera does not represent that any environmental, compostability, sustainability, or certification claim is complete or applicable unless that claim is expressly stated on the applicable product packaging or product page. Any certification or verification that is still pending will not be represented as finalized.
Nothing in these Terms limits any warranty, right, or remedy that cannot lawfully be excluded or limited under applicable law.
11. Limitation of Liability
To the fullest extent permitted by law, Dust N' Sweep L.L.C. and Phera shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Site or products.
To the fullest extent permitted by law, Phera's total liability for any claim arising from your use of the Site or purchase of a product will not exceed the amount you paid to Phera for the specific product or order giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
12. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless Dust N' Sweep L.L.C., d/b/a Phera, and its officers, employees, and affiliates from third-party claims, damages, liabilities, and reasonable expenses (including reasonable attorneys' fees) arising out of your unlawful use of the Site, your violation of these Terms, or your infringement of another person's rights.
This indemnification obligation does not apply to the extent a claim results from Phera's own unlawful conduct or other circumstances for which indemnification cannot lawfully be required.
13. Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law principles, except to the extent applicable law requires otherwise.
Any dispute arising from these Terms or your use of the Site shall be brought in a state or federal court with appropriate jurisdiction in Ohio, unless applicable law gives you the right to bring the dispute elsewhere.
14. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
15. Privacy Policy and Other Policies
These Terms should be read together with Phera's Privacy Policy and Shipping & Returns Policy. If there is a conflict between these Terms and a product-specific policy or promotion, the more specific terms will apply to the extent permitted by law.
